Client Agreement
Please read this before you purchase. It explains what you can expect from me, what I ask of you, and how payments, scheduling, and results work.
This Client Agreement ("Agreement") is between Nikkole Malone Enterprises ("Consultant," "I," "me," or "my") and the person or business purchasing services or products ("Client," "you," or "your"). By checking the agreement box before you pay, completing a purchase, accepting a proposal, or attending a session, you agree to these terms.
1. Services
I provide business consulting, coaching, strategy sessions, mockup design, speaking, and digital products, including The Vision Snapshot, Breaking Ground, The Architect Intensive, Project Management and Operations support, and Clarity Creates Cashflow (together, the "Services"). Each Service is described on its page at nikkolemalone.com. That description, together with this Agreement, sets out what is included. Vendor sourcing, booking, and management are not included. Clients choose, book, and work directly with their own vendors.
2. Payment and all sales final
Payment is due in full at the time of purchase unless you choose a payment option offered at checkout. For custom projects, the price and payment terms are listed in your proposal. If you pay through a third-party plan such as Klarna or Afterpay, your payment agreement is with that provider, and you remain responsible for completing those payments.
All sales are final. When you purchase, I reserve time on my calendar and begin preparing for your work, which may mean turning away other clients. For this reason, all payments are non-refundable and non-transferable, including if you choose not to attend sessions, stop participating, or do not complete the program. Digital products, including ebooks, are non-refundable once purchased or downloaded.
3. Scheduling and rescheduling
After you purchase, I will send you a welcome letter with instructions for scheduling your session.
- To reschedule, you must give me at least 24 hours' notice before your scheduled session.
- Coaching programs with multiple sessions, such as Breaking Ground, include two reschedules per program. The Architect Intensive includes one reschedule. Each reschedule is used to make up a session at a new time, and the new time must be within the same calendar week (Monday through Sunday) as the original session. Once your reschedules are used, sessions must take place as scheduled.
- Sessions canceled or rescheduled with less than 24 hours' notice, and missed sessions ("no-shows"), are forfeited and will not be refunded or made up.
- If you arrive late, the session will still end at its scheduled time.
- If I need to reschedule, I will give you as much notice as possible and we will find a new time together. Your session will not be forfeited.
4. Homework and preparation
Some Services include assignments, questionnaires, or prep work ("homework"). Homework is due at least 24 hours before your session so I have time to review it and give you valuable feedback and insight. If homework arrives late or incomplete, our session will still take place, but my feedback may be limited.
5. Your responsibilities
You agree to provide honest, accurate information, to show up prepared, and to take responsibility for the actions you take. You are solely responsible for your decisions, your business, and your results, including whether and how you use any idea, recommendation, or strategy we discuss.
6. No guarantee of results
My Services are educational and advisory. I share ideas, strategies, frameworks, and recommendations based on my experience, but I do not guarantee any specific outcome, including income, sales, clients, growth, or business success. Results depend on many factors outside my control, such as your effort, timing, market conditions, and the choices you make. Any examples of past results are not a promise of future results.
7. Not legal, financial, or professional advice
I am not your attorney, accountant, financial advisor, or tax professional, and nothing I provide is legal, financial, tax, accounting, medical, or mental health advice. For those matters, please consult a licensed professional before making decisions.
8. Limitation of liability
To the fullest extent allowed by law, I am not liable for any damages, losses, or expenses that result from your use of the Services or from any idea, recommendation, or strategy I share, including lost profits, lost revenue, lost data, business interruption, or any indirect, incidental, special, or consequential damages. If I am found liable for any reason, my total liability will not exceed the amount you paid for the specific Service involved.
9. Indemnification
You agree to hold harmless and defend Nikkole Malone Enterprises from any claims, damages, or expenses, including reasonable attorney's fees, that arise from your business, your decisions, or your use of the Services.
10. Ownership and use of materials
Your ideas, business, and brand belong to you. My worksheets, frameworks, templates, recordings, ebooks, and other materials remain my property. You may use them for your own business, but you may not copy, resell, share, or teach them to others without my written permission. Once paid in full, you may use your Vision Snapshot mockup for your own business.
11. Confidentiality
I will keep the private details you share about your business confidential and will not share them without your permission, unless required by law. I will only share your name, story, or testimonial publicly with your consent. Please keep my private materials and methods confidential as well.
12. Recording
Some Services, such as The Architect Intensive, include a session recording that I provide to you for your personal use. Otherwise, sessions may not be recorded by either of us without the other person's agreement.
13. Communication between sessions
If your Service includes support between sessions, you can reach me by email, and I will respond within two business days, Monday through Friday. Messages sent on weekends or holidays will be answered the next business day.
14. Faith-based approach
My work is rooted in Christian faith, and sessions may include prayer, scripture, or faith-based encouragement. Clients of all backgrounds are welcome, and you may ask me to leave these elements out of our work at any time.
15. Ending our work
I may end our work if a client is abusive, disrespectful, or does not follow this Agreement. In that case, payments already made are not refundable, except where required by law.
16. Governing law
This Agreement is governed by the laws of the State of Indiana. If a disagreement comes up, we agree to first try to resolve it in good faith through direct conversation. Any legal action will be brought in the courts of Marion County, Indiana.
17. General
This Agreement, together with the description of the Service you purchased, is the entire agreement between us. If any part of it is found unenforceable, the rest remains in effect. I may update this Agreement from time to time, and the version in place when you purchase applies to that purchase.
